1. Eligibility & Account Registration
1.1 Eligibility.
You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to use the Services. If you are under 18, you may use the Services only with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
1.2 Account Creation.
To access certain features, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
1.3 Account Security.
You must promptly notify us of any unauthorized use or suspected breach of security. Skillify is not liable for losses caused by unauthorized account access.
2. Use of the Services
2.1 License.
Subject to these Terms, Skillify grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for personal, non‑commercial educational purposes.
2.2 Prohibited Conduct.
You agree not to:
- Violate any applicable law or regulation.
- Engage in harassment, hate speech, or abusive behavior.
- Upload malicious code or interfere with the security or performance of the Services.
- Reverse engineer, decompile, or otherwise attempt to obtain the source code of the Services.
- Share or resell access to the Services.
2.3 Student Communications.
By enrolling in a Skillify program, you consent to receive educational coaching and relevant notifications via SMS, email, or in‑app messages. Message frequency varies; message and data rates may apply. You may opt out of promotional messages at any time as described in our Privacy Policy.
3. Payment & Subscription Terms (If Applicable)
3.1 Fees.
Certain courses or features may require payment. All fees are quoted and payable in U.S. dollars unless otherwise stated.
3.2 Billing.
You authorize Skillify (or our designated payment processor) to charge the applicable fees to your provided payment method.
3.3 Refunds.
Except as required by law or expressly stated in a specific program’s refund policy, all payments are non‑refundable.
4. Intellectual Property
4.1 Skillify Content.
All materials, text, graphics, logos, videos, and other content provided by Skillify (“Skillify Content”) are owned by or licensed to Skillify and protected by intellectual‑property laws. Except as expressly permitted, you may not copy, modify, or distribute Skillify Content.
4.2 User Content.
You retain ownership of any content you submit or upload (“User Content”). By submitting User Content, you grant Skillify a worldwide, non‑exclusive, royalty‑free license to use, reproduce, distribute, and display such content solely for operating or improving the Services.
4.3 Feedback.
If you provide feedback or suggestions, you grant Skillify an unrestricted, perpetual license to use such feedback without compensation.
5. Third‑Party Services
The Services may link to or integrate with third‑party platforms (e.g., Twilio for messaging, payment processors). Skillify is not responsible for third‑party content, terms, or privacy practices.
6. Disclaimers & Limitation of Liability
6.1 No Warranty.
The Services are provided “as is” and “as available.” Skillify disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
6.2 Educational Purpose.
Skillify is an education platform, not a professional mental‑health or medical service. We do not guarantee specific outcomes. You are responsible for your own learning progress and results.
6.3 Limitation of Liability.
To the fullest extent permitted by law, Skillify will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, whether based on contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our total liability arising out of or relating to the Services shall not exceed the greater of (a) the amount you paid to Skillify in the twelve months prior to the event giving rise to the claim or (b) one hundred U.S. dollars (US$100).
7. Indemnification
You agree to indemnify, defend, and hold harmless Skillify and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.
8. Termination
8.1 By You.
You may stop using the Services at any time. To delete your account, contact [email protected].
8.2 By Skillify.
We may suspend or terminate your access to the Services at any time for any violation of these Terms or if required by applicable law.
8.3 Effect of Termination.
Upon termination, your right to use the Services ceases immediately. Sections 4, 6, 7, 9, and 10 will survive termination.
9. Dispute Resolution & Governing Law
9.1 Governing Law.
These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law principles.
9.2 Informal Resolution.
Before filing a claim, you agree to attempt to resolve the dispute informally by emailing [email protected]. If the dispute is not resolved within 30 days, either party may initiate binding arbitration as described below.
9.3 Arbitration.
Any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in San Francisco, California. You waive any right to a jury trial or to participate in a class action.
10. Changes to These Terms
We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website or through in‑app notifications. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
11. Miscellaneous
11.1 Entire Agreement.
These Terms constitute the entire agreement between you and Skillify regarding the Services.
11.2 Severability.
If any provision is deemed unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
11.3 Assignment.
You may not assign your rights or obligations under these Terms without our prior written consent. Skillify may assign these Terms at its discretion.
11.4 No Waiver.
Any failure to enforce a provision of these Terms shall not constitute a waiver.
